Company Incorporation: We are duly registered as a Private Limited Company under the Companies Act, 2013, overseen by the Ministry of Corporate Affairs (MCA), RoC-Kanpur.
SEBI & BASL Transition: SN Capital is currently undergoing formal enlisting with BSE Administration and Supervision Limited (BASL)—the designated Research Analyst Administration and Supervisory Body (RAASB)—to finalize our corporate registration as an Independent Research Analyst (RA) under the SEBI (Research Analyst) Regulations, 2014.
Principal Officer Oversight: All current pre-application frameworks, data parameters, and upcoming research structures are managed under the technical oversight of our designated Principal Officer.
2. Unlisted Securities & Transaction Governance
Because the secondary market for private equity operates outside the automated order books of public exchanges, SN Capital structures its transaction pipeline across three strict statutory pillars:
The Depositories Act, 1996: All unlisted and pre-IPO securities hosted on our platform are held in dematerialized form. Transactions are facilitated exclusively via Off-Market Delivery Instruction Slips (DIS) routed through verified NSDL and CDSL depository participants.
Companies Act, 2013 (Section 56): Every transfer of unlisted equity shares through our inventory or matched counterparties strictly adheres to the share transfer and corporate filing rules mandated by the Ministry of Corporate Affairs.
Pricing Transparency: Indicative prices and Grey Market Premiums (GMP) displayed on the platform are aggregated via clear dealer logs and financial media fields to provide institutional-grade price discovery, eliminating arbitrary broker markups.
3. Anti-Money Laundering (AML) & KYC Framework
SN Capital enforces a zero-tolerance policy toward financial crimes, operating in strict compliance with the Prevention of Money-Laundering Act (PMLA), 2002:
Mandatory KYC: No user can view premium asset dashboards, load the platform wallet, or execute an off-market transfer without completing full Know Your Customer (KYC) verification via SEBI-registered KYC Registration Agencies (KRAs).
Banking Integration: To prevent third-party funding or layering, the platform restricts all monetary transactions exclusively to the verified bank account mapped to the investor’s PAN. We do not accept cash, crypto, or anonymous third-party UPI transfers.
4. Data Protection & Privacy (DPDP Act, 2023)
As a tech-enabled platform handling sensitive investor profiles, corporate bank details, and demat structures, our digital backend is explicitly engineered to comply with the Digital Personal Data Protection (DPDP) Act, 2023:
Purpose Limitation: Investor data (PAN, Aadhaar, Demat holding statements) is collected solely for KYC validation, regulatory reporting, and secure order execution.
Data Security: All wallet balances, credentials, and transaction logs are encrypted using modern security protocols. No user data is ever sold or shared with external marketing networks.
5. Research Integrity & Code of Conduct
While our formal SEBI RA license application is processed by BASL, our internal content creators, analysts, and representatives operate under the strict behavioral guidelines of the SEBI RA framework:
No Guaranteed Returns: In compliance with SEBI and ASCI norms, SN Capital strictly prohibits marketing unlisted shares with promises of "guaranteed yields," "fixed multi-bagger returns," or "risk-free profits."
Arms-Length Distance: Our corporate finance consulting division operates at strict arms-length from our retail unlisted stock display board to actively mitigate, declare, and eliminate conflicts of interest.
6. Institutional Grievance & Escalation Matrix
True transparency means providing a functional, time-bound path to resolve transaction disputes.
Level 1 (Internal Resolution): All queries, settlement delays, or technical errors must be registered with our Internal Compliance Desk at info@sncapital.in. We commit to a formal resolution report within 48 business hours.
Level 2 (Supervisory Escalation): If a dispute regarding our research analytics remains unresolved, investors can escalate the matter to BSE Administration and Supervision Limited (BASL).
Level 3 (Regulatory Escalation): Upon the formal activation of our SEBI registration number, investors can utilize the SEBI SCORES Portal (scores.sebi.gov.in) to lodge formal complaints.
